River Lattice Pty Ltd provides interior design services and operates the website at riverlattice.com. By accessing the site or engaging our services, you agree to these terms.

Definitions

  • Client means the individual or entity engaging River Lattice for services
  • Services means interior design concept, documentation, procurement and related advisory
  • Deliverables means drawings, schedules, specifications, visuals and written advice we provide

Scope of Services

Services are described in our proposal and staged workflow. Any items not listed are excluded. We may recommend third-party consultants or trades; their contracts are between you and those parties.

Proposals, Fees and Payments

  • Fees may be fixed per stage or time-based as specified in the proposal
  • Expenses such as printing, courier, samples and travel may be charged at cost plus handling where applicable
  • Invoices are payable within 7 days unless otherwise stated
  • Overdue amounts may incur suspension of work until payment is received

Client Responsibilities

  • Provide complete and accurate information and timely feedback
  • Obtain required approvals, permits and certifications for works
  • Engage competent licensed contractors and ensure site safety and access

Intellectual Property

We retain ownership of all intellectual property in our Deliverables until full payment of relevant invoices. Upon full payment, you receive a non-exclusive, non-transferable licence to use the Deliverables for the project and site address stated in the proposal. Use outside the project scope requires our written consent.

Approvals and Variations

Client approvals confirm accuracy of drawings and selections prior to procurement or construction. Variations requested after approval may affect fees and timelines. We will advise if additional services are required.

Site Conditions and Third Parties

Construction, installation and building work are carried out by independent contractors engaged by you. We are not responsible for workmanship, warranties or compliance of third parties. Unforeseen site conditions may require design adjustments.

Warranties and Liability

Services are provided with reasonable care and skill. To the maximum extent permitted by law, we exclude liability for indirect or consequential loss. Our total aggregate liability in connection with the Services is limited to the fees paid for the stage giving rise to the claim. Consumer guarantees under the Australian Consumer Law may apply and are not excluded where they cannot be.

Privacy and Confidentiality

We handle personal information in accordance with our Privacy Policy. We keep your project information confidential except where disclosure is required by law or necessary to provide Services.

Suspension and Termination

Either party may terminate on written notice if the other materially breaches these terms and fails to remedy within a reasonable period. On termination, fees for work performed and committed expenses remain payable. We may suspend Services for non-payment.

Governing Law and Disputes

These terms are governed by the laws of Victoria, Australia. Parties will first attempt to resolve disputes in good faith through negotiation. If unresolved, the courts of Victoria have non-exclusive jurisdiction.

Changes to These Terms

We may update these terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the site or Services after changes constitutes acceptance.
